Terms of service

These terms govern your use of Seoxpert. By creating an account or running a scan, you agree to them. If you don't, please don't use the service.

1. Who you are agreeing with

The service is operated by Cloud Ninja Consulting ApS, a Danish private limited company registered as CVR 46044118 (VAT DK46044118). In these terms "Seoxpert", "we", "us", and "our" refer to Cloud Ninja Consulting ApS. "You" or "Customer" refers to you, and where applicable the legal entity you represent.

2. The service

Seoxpert is a website audit platform. You submit URLs you own or have permission to audit, we crawl them and run automated checks for SEO, security, performance, and content-quality issues, and we return a prioritised report. The full feature set is documented at /coverage.

Findings are produced by automated checks. They are informational. Acting on a finding may improve your site, but we do not guarantee any specific outcome — search rankings, conversion rates, traffic, or otherwise.

3. Your account

3.1 Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) and have the legal capacity to enter into this agreement. If you are using Seoxpert on behalf of an organisation, you confirm that you are authorised to bind that organisation to these terms.

3.2 Security of your account

You are responsible for keeping your login credentials confidential and for everything that happens under your account. Notify us at support@seoxpert.io if you suspect unauthorised access.

3.3 Accuracy

You agree to provide accurate information when you sign up and to keep it current.

4. Acceptable use

You agree not to:

  • Submit URLs for sites you don't own or have permission to audit. Auditing somebody else's site without authorisation may violate their terms or local computer-misuse laws.
  • Use the service to launch denial-of-service attacks, scrape at abusive volumes, or otherwise impose disproportionate load on a target site.
  • Reverse-engineer, decompile, or attempt to extract the source code of the service except to the extent permitted by Danish law.
  • Resell, sublicense, or rebrand the service without a written reseller agreement.
  • Interfere with the operation of the service — automated probing of internal endpoints, attempts to bypass rate limits, exploitation of bugs.
  • Use the service to violate the law, infringe intellectual property, or harass anyone.

We may suspend or terminate accounts that violate this section without refund.

5. Plans, billing, and credits

5.1 Plans and pricing

Current plans and prices are listed at /#pricing. Each scan consumes one credit regardless of which plan you are on. Unused credits roll over month to month and never expire.

5.2 Billing

Subscriptions auto-renew at the end of each billing cycle until you cancel. We charge in USD; your bank may apply a conversion or fee. Stripe handles payment processing — we never see your card details. Invoices are issued through Stripe and are available in your dashboard.

For VAT purposes, sales to EU consumers are subject to Danish VAT or destination-country VAT under the OSS scheme. Sales to EU businesses with a valid VAT number are reverse-charged. Sales outside the EU are zero-rated.

5.3 Trial scan

New accounts get one free scan credit on signup. The free scan is provided as-is, without warranty, and is not part of any paid plan.

5.4 Cancellation and downgrade

You can cancel any subscription from the dashboard or by emailing support@seoxpert.io. Cancellation takes effect at the end of the current billing cycle — you keep your remaining credits and feature access until then.

Direct downgrades to a lower-tier subscription are not supported in-flight; cancel and re-subscribe to the lower plan once your current cycle ends. Upgrades take effect immediately and are prorated by Stripe.

5.5 Refunds

We do not provide refunds for partial billing cycles or unused credits, and we do not refund one-time scan packs once any credit has been consumed. Exceptions: if we materially fail to deliver the service for reasons within our control, contact support@seoxpert.io within 14 days of the incident and we will work in good faith to make it right (refund, credits, or service extension).

5.6 Right of withdrawal (consumers in the EU)

Under Danish law (Forbrugeraftaleloven §18), consumers in the EU have a 14-day right of withdrawal for distance contracts. By starting a scan or using the dashboard within the 14-day window, you expressly request immediate performance of the service and acknowledge that you lose your right of withdrawal once the service is fully performed. A scan is a fully-performed service the moment results are returned; running one waives the right of withdrawal for that purchase.

This clause does not apply to business customers, who are not consumers under Danish law.

6. Customer data and confidentiality

Everything you submit to the service — URLs, account information, scan history — belongs to you. We process it on your behalf to provide the service, in line with our privacy policy.

We do not share scan results with third parties for marketing. We may use anonymised, aggregated data (e.g. "X% of audited sites have HSTS enabled") for benchmarking and case studies, but never in a way that identifies you or your sites.

If you process personal data through Seoxpert in your capacity as data controller, contact privacy@ for a Data Processing Agreement.

7. Intellectual property

We own everything that makes Seoxpert work: the software, the issue-catalogue content, the report templates, the brand. We grant you a non-exclusive, non-transferable, revocable licence to use the service for your business purposes during the term of your subscription. The licence ends when your account is closed.

You retain ownership of your content (URLs, scan results, custom configuration). By using the service, you grant us the licence necessary to host, process, and display your content for the purpose of providing the service.

If you provide feedback or feature requests, we may use them without restriction or compensation.

8. Service availability

We aim for high availability but do not commit to a specific SLA on standard plans. Maintenance windows and incidents will be announced where possible. For enterprise customers requiring an SLA, contact support@seoxpert.io.

9. Warranties

We provide the service "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties — merchantability, fitness for a particular purpose, non-infringement, accuracy of findings, and uninterrupted operation. Nothing in this section limits warranties that cannot be excluded under mandatory Danish law.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability under or in connection with these terms is limited to the amount you have paid to us in the twelve months preceding the event giving rise to the claim, or 100 EUR — whichever is greater.

We are not liable for indirect, incidental, special, or consequential damages — lost profits, lost revenue, lost data, lost goodwill, business interruption — even if we have been advised of the possibility.

Nothing in this section limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under mandatory Danish law (Erstatningsansvarsloven, Købeloven, Markedsføringsloven).

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your misuse of the service, your violation of these terms, your violation of any third-party right (including intellectual property), and your scanning of sites you don't have permission to audit.

We agree to indemnify you against third-party claims that the service as provided by us infringes a third party's intellectual property rights. This obligation does not apply where the alleged infringement arises from your modification of the service, your combination of the service with anything not provided by us, or your use of the service in a manner inconsistent with the documentation.

12. Suspension and termination

You may close your account at any time. We may suspend or terminate your account if you breach these terms, fail to pay, or expose us to legal or financial risk. We will provide reasonable notice except where the breach is material or urgent.

On termination, your access ends and we delete personal data per the schedule in our privacy policy. Sections 6, 7, 9, 10, 11, and 13 survive termination.

13. Governing law and disputes

These terms are governed by the laws of Denmark. Any dispute arising out of or in connection with these terms — including non-contractual disputes — is subject to the exclusive jurisdiction of the Danish courts, with the District Court of Copenhagen (Københavns Byret) as the court of first instance.

Where mandatory consumer-protection law in your country of residence provides you with stronger rights, those rights apply on top of the rights granted in these terms.

The European Commission's online dispute resolution platform is available at ec.europa.eu/consumers/odr. We are not currently obligated to participate in arbitration before a consumer dispute body.

14. Changes

We may update these terms. Material changes are announced on this page at least 14 days before they take effect, and active customers are notified by email. Continued use of the service after the effective date constitutes acceptance. If you don't accept the new terms, you may close your account before they take effect for a prorated refund of any unused subscription period.

15. Miscellaneous

Severability. If any provision is held invalid, the remainder remains in effect.

No waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not assign these terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of substantially all of our assets.

Force majeure. Neither party is liable for failure to perform caused by events beyond reasonable control — natural disasters, war, public-health emergencies, network outages — provided the affected party uses reasonable efforts to mitigate.

Entire agreement. These terms, together with the privacy policy and any order form you sign with us, constitute the entire agreement between you and us regarding the service. They supersede prior agreements on the same subject.
